These Terms and Conditions ("Terms") govern your use of mdigitalwork.com and any services provided by Maharishi Digital Work LLC ("MDW," "we," "our," or "us"), a Women-Owned Small Business registered in Franklin, Tennessee. By accessing our website or engaging our services, you agree to be bound by these Terms.
Acceptance of Terms
By visiting mdigitalwork.com, submitting an inquiry, engaging our services, or communicating with us via SMS, email, or phone, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy.
If you do not agree to these Terms, please discontinue use of our website and services. We reserve the right to update these Terms at any time, with changes effective upon posting to this page.
Your continued use of our services after any updates to these Terms constitutes your acceptance of the revised Terms. We encourage you to review this page periodically.
Services Description
Maharishi Digital Work LLC provides a range of digital services including but not limited to:

Specific deliverables, timelines, and pricing are outlined in individual proposals or service agreements provided to each client. These Terms apply to all services unless a separate written agreement supersedes them.
SMS Communication Terms
Your mobile phone number will never be shared, sold, or rented to third parties for any marketing or promotional purposes.
By submitting your phone number via our contact form or verbally consenting, you agree to receive text messages from Maharishi Digital Work LLC, including:
- Welcome and onboarding messages upon inquiry submission
- Follow-up messages related to your service inquiry or project
- Business proposals, invoices, and payment reminders
- Project status updates and performance reports
- Promotional and marketing communications (where separately consented)
Message Frequency: Varies by engagement level, typically 1–10 messages per month. Standard message and data rates may apply based on your mobile carrier and plan.
To manage your SMS preferences, use the following keywords:
Payment & Billing
- Payment terms are specified in each project proposal or service agreement
- Invoices are due within the timeframe stated (typically Net 7 or Net 15)
- A one-time setup fee may apply for certain packages, as disclosed in the proposal
- Monthly retainer packages are billed in advance at the beginning of each billing cycle
- Ad spend (Google, Meta, LinkedIn, etc.) is billed directly by the respective platform and is not included in MDW management fees
- Late payments may incur a fee of 1.5% per month on the outstanding balance
- Refunds are handled on a case-by-case basis per the terms in your individual service agreement
Services may be paused or terminated if payment is overdue by more than 15 days. All outstanding balances become immediately due upon termination.
Intellectual Property
Client-Owned Deliverables
Upon full payment, clients receive ownership of final deliverables (website designs, code, content) as specified in the project agreement.
MDW Proprietary Assets
All pre-existing tools, frameworks, methodologies, templates, and processes developed by MDW remain our exclusive property.
Website Content
All content on mdigitalwork.com — text, images, logos, graphics, and code — is protected by applicable copyright and IP laws.
Portfolio Rights
MDW may display completed work in our portfolio and marketing materials unless the client requests confidentiality in writing before project completion.
Client Obligations
Clients agree to the following responsibilities throughout the engagement:
- Provide accurate, complete, and timely information required for project execution
- Provide access to necessary accounts, assets, and platforms in a timely manner
- Review and provide feedback on deliverables within agreed-upon timeframes
- Ensure all content and materials provided to MDW do not infringe on third-party intellectual property rights
- Use our services only for lawful purposes and in accordance with applicable laws
- Not attempt to reverse-engineer, copy, or resell MDW's proprietary tools or methodologies
Confidentiality
Both parties agree to maintain the confidentiality of proprietary and sensitive information shared during the course of the engagement. This includes business strategies, financial data, technical specifications, and client lists.
Confidential information shall not be disclosed to third parties without written consent, except as required by law.
This confidentiality obligation survives the termination of our engagement for a period of two (2) years after the relationship ends.
Limitation of Liability
To the maximum extent permitted by law, Maharishi Digital Work LLC shall not be liable for:
- Indirect, incidental, special, or consequential damages arising from use of our services
- Loss of revenue, data, business opportunities, or profits
- Outcomes of third-party platforms (Google Ads performance, Meta algorithm changes, etc.)
- Delays caused by client failure to provide required information or approvals
- Interruptions due to circumstances beyond our reasonable control (force majeure)
Our total liability for any claim arising from our services shall not exceed the total fees paid by the client in the three (3) months preceding the claim.
Termination
- Either party may terminate services with written notice as specified in the service agreement (typically 30 days)
- MDW reserves the right to terminate services immediately if a client violates these Terms or engages in unlawful conduct
- Upon termination, all outstanding invoices become immediately due and payable
- Clients will receive all paid-for deliverables completed up to the termination date
- Minimum commitment periods (e.g., 3-month packages) are non-cancellable and fees remain due
Dispute Resolution
In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation within 30 days of written notice of the dispute.
If negotiation is unsuccessful, disputes shall be resolved through binding arbitration in Williamson County, Tennessee, in accordance with the rules of the American Arbitration Association (AAA).
Both parties waive the right to participate in class action lawsuits related to MDW services. All disputes will be handled individually through the arbitration process.
Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Tennessee, United States, without regard to its conflict of law provisions.
Any legal proceedings not subject to arbitration shall be brought exclusively in the state or federal courts located in Williamson County, Tennessee.
